Terms & Conditions

1. Introduction
1.1) Welcome to Cheriefox.com. These terms and conditions govern the use of our design services.
1.2) By engaging the services of Cheriefox.com, you agree to these terms.


2. Definitions
2.1) "Client" refers to the individual or entity engaging in the services offered by Cheriefox.com
2.2) "Cover design" refers to the book covers, release trailers, marketing materials, or any other
items created by Cheriefox.com


3. Copyright and Ownership
3.1) Upon receipt of full payment, Cheriefox.com grants the Client exclusive commercial license to
use the final cover design artwork for his/her book cover and associated promotional materials.
3.2) The Client understands that he/she has no right to alter the final cover design in any way except
to change the trim size for printing or digital display. If the Client desires any alterations, he/she will
consult Cheriefox.com. The Client understands that additional payments may be required to make
these alterations.
3.3) The Client agrees to abide by the terms of any license agreement for any images purchased by
Cheriefox.com through a third-party image provider for use in the Client’s book cover design. The
cost of cover design includes the license to use these images contained therein, and is limited to a
print run of 500,000 units. For books with a print run over 500,000, additional licensing fees may
apply.
3.4) Images used for the Client’s cover are royalty-free; however, the photographer/creator of the
image owns the copyright to those photographs/images, and the photographs/images cannot be
distributed in any manner other than in the book cover design.
3.5) Cheriefox.com retains the right to use the Client’s final book cover design, name, and book title
in their portfolio and to market and promote their services. Cheriefox.com retains copyright and
ownership of all design and draft materials.
3.6) If the Client supplies Cheriefox.com with materials subject to intellectual property rights by a
third-party, the Client will secure the appropriate rights to use the materials before directing the
designer to incorporate them into his/her project. Should any intellectual property dispute arise
involving materials the Client provides, the Client assumes full legal and financial responsibility.


4. Payment Terms
4.1) The Client agrees to pay the full project fee upfront.
4.2) If the Client requests additional services while he/she has an existing project, work on those
additional services cannot commence until appropriate payment has been made.
4.3) For conditions pertaining to the cancellation/termination of the contract, please refer to section 9.


5. Revisions and Alterations
5.1) The Client is entitled to a specified number of revisions, as outlined in the project agreement.

If no number is specified, the default number of 5 shall be applicable.
5.2) Additional revisions may be subject to additional charges.
5.3) Major alterations to the original project scope may incur additional fees.


6. Attribution
6.1) Cheriefox.com requires cover design credit appear in the Client’s book (either on the back cover
or on the copyright page) as such: “Cover design by Cheriefox.com”


7. Client Responsibility
7.1) The Client is fully responsible for proofing the book cover design provided by Cheriefox.com.

It is strongly advised that the Client request a proof from their printer-of-choice before publishing

or ordering any copies of the book. At no time will Cheriefox.com be held financially or legally

responsible for any problems, costs, fees or expenses incurred by the Client as a result of using

the book cover design.


8. Confidentiality
8.1) Cheriefox.com agrees to keep all information and communications provided by the Client

confidential.
8.2) The Client agrees to keep all communication and project details confidential.


9. Termination
9.1) Either party may terminate the project with written notice if the other party breaches these terms.
9.2) If either the Client or Cheriefox.com cancels a project before work has started, neither the Client
nor Cheriefox.com is under further obligation to the other, and this contract will be considered
cancelled. If this occurs, the full cost of the order, minus any processing/conversion fees, shall be
refunded to the Client.
9.3) If the Client should stop or cancel a book cover design project once it has started, the Client
agrees to forfeit 75% of the project total sum. This is to cover resources and time taken during the
project up to the point of cancellation. The Client will have no rights to any files sent to the Client
and agrees to destroy them.


10. Complete Agreement
10.1) This agreement is the entire agreement of all parties. No additional promises or conditions,
written or oral, apply to this agreement that are not included herein.


11. Modification of Agreement
11.1) Modification of any provisions of this agreement is not valid and enforceable unless confirmed
in writing and signed by all parties either in hardcopy or by e-signature.


12. Severability
12.1) The finding of any provision of this agreement to be invalid or unenforceable does not render
the remaining provisions invalid or unenforceable.
